Introduction
These General Terms and Conditions apply to all offers, agreements, and deliveries of Amsterdam Tennis Society VOF, registered in Amsterdam with the Dutch Chamber of Commerce under number 97875015. These terms are applicable to both consumers and business customers, unless expressly stated otherwise.

Artikel 1.              Definitions

1.1. Amsterdam Tennis Society: the general partnership (VOF) Amsterdam Tennis Society VOF, registered in Amsterdam and with the Chamber of Commerce under registration number NL 868270556B01 hereinafter referred to as "ATS".

1.2. Customer: any natural or legal person who uses the services or products of ATS.

1.3. Consumer: a natural person not acting in the course of a profession or business.

1.4. Business Customer: a natural or legal person acting in the course of a profession or business.

1.5. Members: customers who have entered into a membership agreement with ATS for participation in clinics or events under predetermined conditions.

1.6. Agreement: any agreement between ATS and the Customer.
Product: all physical or digital goods, including tickets, clothing, and merchandise.

1.7. Services: including but not limited to event organization, white-label productions, brand licensing, and consultancy.

1.8. General Terms and Conditions: these present terms and conditions.

Artikel 2.              Applicability of the General Terms and Conditions

2.1. These General Terms and Conditions apply to every offer made by ATS and all Agreements concluded between ATS and the Customer.

2.2. Deviations from these terms are only valid if expressly confirmed in writing by ATS.

2.3. If the Customer includes terms in their order, confirmation, or communication that deviate from or are not included in these Terms, such terms shall only bind ATS if and insofar as they have been explicitly accepted in writing by ATS.

2.4. If specific product or service conditions apply in addition to these General Terms and Conditions, such conditions shall also apply. In case of conflict, the provision most favorable to the Customer shall prevail, unless contrary to mandatory law.

Artikel 3.              Offer and Conclusion of the Agreement

3.1. These General Terms and Conditions apply to every offer made by ATS and all Agreements concluded between ATS and the Customer. All offers made by ATS, whether online or offline, are non-binding and may be changed or withdrawn by ATS at any time.

3.2. An agreement is established when the Customer accepts an offer from ATS and ATS confirms this acceptance in writing or electronically, or by executing the order or service.

3.3. ATS reserves the right to refuse orders or requests, for instance in cases of obvious errors, incomplete data, suspected misuse, or previous default by the Customer.

3.4. If it appears that the Customer has provided incorrect data upon acceptance or otherwise entering into the agreement, ATS is entitled to suspend the execution of its obligations until the correct data is received.

Artikel 4.              Tickets and Events

4.1. Tickets grant access to a specific tennis event or clinic on a fixed date, time, and location as stated upon purchase. Tickets are strictly personal and non-transferable without prior written consent from ATS.

4.2. The Customer is responsible for timely arrival at the correct location. Late arrivals may be denied access without refund.

4.3. Cancellation by the Customer is permitted free of charge up to 24 hours before the event. No refunds will be issued for cancellations within 24 hours or no-shows.

4.4. Tickets are exempt from statutory right of withdrawal under Article 6:230p of the Dutch Civil Code, due to the nature of the service (leisure activity on a specific date).

4.5. ATS reserves the right to modify the location, time, or program of an event due to organizational reasons or force majeure. In case of full cancellation by ATS, a full refund will be issued. If the event is rescheduled, the ticket remains valid for the new date. If the Customer is unable to attend the rescheduled date, a reasonable alternative or (partial) refund will be offered.

4.6. Participation in events and clinics is at the Customer's own risk. ATS shall not be liable for bodily injury, loss of personal property, or other damages, unless caused by intent or gross negligence.

4.7. Members pay a monthly subscription for a fixed period of six months (summer season). The current subscription price is stated on the ATS website. Members receive priority access to ticket reservations for clinics and events, and early access to the booking system. After the priority period, they may still book remaining spots using their member discount.

Artikel 5.              Clothing and Merchandise

5.1. Customers may purchase clothing and merchandise from ATS via the webshop or on-site locations.

5.2. All product descriptions, images, and size charts are prepared with care. Minor deviations in color, size, or finish may occur and do not constitute grounds for termination or compensation.

5.3. Consumers have a right of withdrawal within 14 days after receipt, provided the item is unused, unworn, and returned in its original packaging.

5.4. Returns are at the Customer's cost and risk, unless the delivered item is demonstrably defective or incorrect. ATS recommends using a track & trace code for returns.

5.5. Items showing signs of use or damage (e.g. stains, odor, wash fading, visible wear, or animal hair) will not be accepted for return.

5.6. Returns not meeting the above conditions may be refused or only partially credited. The Customer will be notified in writing.

5.7. Business Customers have no right of withdrawal, unless agreed otherwise in writing.

Artikel 6.              International Shipping

6.1. ATS ships products worldwide, unless otherwise indicated on the website or during checkout. The Customer is responsible for providing an accurate shipping address.

6.2. Any import duties, VAT, customs fees, or other charges imposed by the destination country are the sole responsibility of the Customer. ATS has no influence over such costs and accepts no liability.

6.3. ATS is not liable for delays due to customs procedures, border controls, or local postal services. Such delays do not entitle the Customer to compensation or cancellation.

6.4. If an order is refused or not collected and is returned to ATS, incurred shipping and additional costs will be deducted from any refund amount.

Artikel 7.              Business Services (White-Label & Brand Licensing)

7.1. Separate agreements apply to business services such as white-label event production, brand licensing, or promotional partnerships, which must be documented in writing per assignment.

7.2. Unless explicitly agreed otherwise, ATS retains all intellectual property rights to concepts, designs, formats, trade names, and promotional materials developed by ATS. Use by third parties without prior written permission is prohibited.

7.3. ATS is not liable for damages resulting from incorrect use of brand, image, or promotional materials by partners.

7.4. If execution of a business service (such as a white-label event) is outsourced to third parties, ATS will notify the Customer in advance. ATS remains responsible for the service quality, unless otherwise agreed in writing.

Artikel 8.              Membership Terms

8.1. ATS offers a membership subscription ("Membership") for a fixed term of six months (summer season). During this period, Members pay a monthly fee as listed on the ATS website at the time of registration.

8.2. Membership grants priority access to clinics and tennis events, provided reservations are made within the allocated pre-sale window. After this period, Members may still use their discount to reserve remaining spots, subject to availability.

8.3. Membership is binding for the full six-month period and cannot be terminated prematurely. Missed clinics or absences do not entitle the Member to a refund.

8.4. Payments are made monthly via direct debit or another agreed method. In case of payment arrears, ATS reserves the right to suspend the membership until payment is received.

8.5. ATS reserves the right to modify the Member offering during the term, provided the core benefit (priority access to clinics) is maintained.

8.6. Memberships are personal and may not be transferred to third parties without prior written consent from ATS.

Artikel 9.              Pricing and Payment

9.1. All prices stated on the website, offers, or quotes are inclusive of VAT, unless explicitly stated otherwise. Shipping, handling, or transaction fees are listed separately.

9.2. Consumers must pay in full upon ordering using the available payment methods. Orders are processed only after full payment is received.

9.3. Business Customers may, if agreed, pay via invoice with a maximum term of 14 days. Late payments incur statutory interest without further notice.

9.4. If the Customer fails to pay on time, ATS may suspend or terminate the agreement without liability for damages or consequences on the part of the Customer.

9.5. In case of non-payment, ATS may also charge extrajudicial collection costs in accordance with legal rates.

9.6. Promotion codes, discount cards, or Member discounts are non-refundable and only valid under the conditions stated at issuance.

Artikel 10.           Liability

10.1.                ATS is not liable for indirect damage, consequential loss, lost profits, or missed savings, unless caused by intent or gross negligence.

10.2.                Direct liability is in all cases limited to the amount of the relevant order, service, or membership period in which the damage occurred.

10.3.                ATS is not liable for damages resulting from improper use of products or services by the Customer or third parties.

10.4.                Any claim for damages expires if not reported in writing within 30 days after discovery of the damage.

10.5.                In cases of force majeure, ATS is not obliged to compensate any resulting damages. Force majeure includes, but is not limited to: natural disasters, pandemics, government measures, strikes, supplier failures, or outages of systems or internet connections beyond ATS's control.

Artikel 11.           Privacy and Data Processing

11.1.                ATS processes personal data of Customers in accordance with the General Data Protection Regulation (GDPR) and other applicable privacy laws.

11.2.                ATS collects and processes only the data necessary to perform the agreement, such as name, email, address, and payment details.

11.3.                Customers have the right to access, correct, or delete their personal data. Requests may be sent to the email address listed on the ATS website.

11.4.                ATS will not disclose personal data to third parties, unless required for the performance of the agreement or by legal obligation.

11.5.                A detailed explanation of personal data processing is provided in the privacy policy available under privacy policy section on our website.

Artikel 12.           Applicable Law and Disputes

12.1.                All agreements and legal relationships with ATS are governed exclusively by Dutch law.

12.2.                Disputes between ATS and the Customer shall preferably be resolved through mutual consultation. If no resolution is achieved, disputes shall be submitted to the competent court in the district where ATS is established.

12.3.                If the Customer is a consumer and a dispute cannot be resolved mutually, the consumer may use the European Online Dispute Resolution platform (ODR) at http://ec.europa.eu/odr.

12.4.                If any provision of these General Terms and Conditions is found to be null or void, the remaining provisions shall remain in full force. The parties will then consult to replace the invalid provision with one that best reflects the original intent.
